Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS SERVICE AS THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS.

These Terms and Conditions constitute a legally binding agreement between Algoritmo Software Inc. and its affiliates (“Company”, “we”, “us” or “our”) and you, the person accessing the Services (as defined below) (“User”, “you” or “your”). These terms (the “Terms”), together with the documents referred to in them, including our Privacy Policy and our Refund Policy, apply to your use of BoothLab, including the design brief, previews, event packs, credits, the Studio editor and any content, functionality and services offered on or through our website at boothlab.ai (the “Website”), and to any related applications, features, functionality, content or information (collectively, the “Services”).

Your access to and use of the Services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, Users and others who wish to access or use the Services. If you are accessing or using the Services on behalf of another person or a business, you represent and warrant that you have the authority to act on behalf of and bind that person or business to these Terms.

BY USING THE SERVICES YOU ARE DEEMED TO HAVE READ AND ARE INDICATING YOUR ACCEPTANCE OF, AND YOU AGREE TO BE BOUND BY, THESE TERMS, WHICH SHALL GOVERN YOUR ACCESS TO AND USE OF THE SERVICES. IF YOU DO NOT AGREE TO THESE TERMS, YOU HAVE NO RIGHT TO ACCESS OR USE THE SERVICES.

THESE TERMS CONTAIN A RELEASE BY YOU OF ALL CLAIMS FOR DAMAGE AGAINST US THAT MAY ARISE OUT OF YOUR USE OF THE SERVICES. BY USING THE SERVICES, YOU AFFIRM THAT YOU AGREE TO THESE PROVISIONS.

1. Scope of licence

We grant you a limited, personal, non-exclusive, non-assignable, non-transferable, non-sublicensable and revocable licence to use the Website for the purpose of receiving the Services.

The Company or its licensors own all rights, title and interest (including all intellectual property rights) in and to the Services and all software, content, methodologies, technology, designs, graphics, illustrations, logos and marks used by us to provide the Services or in connection with them (“Company IP”). Except for the licence to Delivered Files in section 5, you do not have any rights to, and may not, rent, lease, lend, sell, copy, transfer, reproduce, distribute, redistribute, sublicense, display, adapt or modify any Company IP. All rights not expressly granted to you are retained by the Company.

If you provide the Company with any comments, suggestions, recommendations, requests or other feedback (“Feedback”), the Company may use it to improve the Website or Services or for any other purpose. The Company shall own such Feedback, and the Company and its affiliates, licensees, clients, partners and third-party providers may use, license, distribute, reproduce and commercialize it. You hereby assign, irrevocably, exclusively and on a royalty-free basis, all such Feedback to the Company.

2. Accounts and sign-in

To generate designs and use certain features of the Services you need to create and maintain an account (“Account”). You sign in with Google or with a link we email to you. To create an Account you must provide an email address; disposable email addresses cannot be used. Payment and billing details are collected by Paddle at checkout, as described in section 13.

You undertake and warrant to keep the information you provide to us up to date, complete and accurate.

You must safeguard access to your Account, including the email inbox, sign-in links and third-party sign-in you use to reach it (“Login ID”), and you must not share that access with anyone. Your Login ID will be used by the Company solely in accordance with these Terms and our Privacy Policy.

You agree to notify the Company immediately of any unauthorized use of your Account or Login ID. Failure to comply with this section may result in immediate termination of your Account. The Company shall not be responsible or liable, directly or indirectly, for any loss or damage of any kind incurred as a result of, or in connection with, your failure to comply with this section.

3. Use of the Services

You may use our Services to:

  • browse our Website and content;
  • create and operate your Account;
  • brief events, preview designs, and buy, edit and download event packs;
  • make legitimate purchases; and
  • communicate and engage with us.

By using our Website or operating an Account, you agree that we may send you communications that are part of the day-to-day operation of the Services, such as sign-in links, receipts and notices that a pack is ready. Marketing communications are sent only if you have opted in, and you may opt out of them at any time.

You agree not to misuse the Services. Your use of the Services is subject to these Terms, including the following restrictions. You shall not:

  • copy (except as expressly permitted by these Terms or applicable law), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, manipulate, alter or create derivative works of the Website or Services, any updates, or any part of them, or any Company IP;
  • interfere with or disrupt any user, host or network forming any part of the Services;
  • access or search the Services by any means other than the supported interfaces made available to you;
  • exploit the Services in any unauthorized way, including by trespass or burdening network capacity;
  • engage in unusually high usage of the Services from individual accounts, create multiple accounts to obtain free credits or free previews, or employ automated programs such as bots that may impair our ability to provide the Services to other customers or indicate misuse of the Services;
  • authorize third parties to use your Account;
  • access the Services if you are a minor (a person under the age of 18, or under the age of majority where you live);
  • use watermarked previews at an event, or remove or obscure a watermark;
  • print, copy or download any part of our Services or works in breach of these Terms;
  • post or transmit data or content that violates or infringes any third-party rights, is false, misleading or inaccurate, or defames, libels or disparages any third party;
  • post or transmit data or content that would be considered a criminal offence, give rise to civil liability, or otherwise violate the law;
  • transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material (spam); or
  • use our Services in any way that:
    • violates any applicable local, national or international law or regulation;
    • is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
    • transmits, sends or uploads any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or code designed to adversely affect the operation of any computer software or hardware; or
    • accesses without authority, interferes with, damages or disrupts any part of our Services, the equipment, network or software used to provide them, or any equipment, network or software owned or used by a third party.

Any attempt to do any of the foregoing is a violation of our rights. If you breach these restrictions, you may be subject to prosecution and damages, and we may, at our sole discretion, terminate your licence, disable, suspend or terminate your Account, and bar you from accessing the Services immediately. YOU MUST INDEMNIFY US FOR ALL LOSSES AND DAMAGES (INCLUDING LEGAL FEES) WHICH WE MAY SUFFER AS A RESULT, IN ACCORDANCE WITH SECTION 10 (INDEMNIFICATION).

You access our Services at your own risk and initiative. You may use the Services for lawful purposes only and only in accordance with these Terms. You are solely responsible for obtaining and maintaining all consents required for you to use the Services and to provide any material in relation to them, including from your own clients, and for complying with all laws, rules and regulations that apply to your use of the Services, including applicable privacy laws.

The Company has no obligation to monitor any activity or content associated with the Services, but it has the right to do so in order to secure and improve the Services, for fraud prevention, risk assessment, investigation and customer support, and to ensure compliance with these Terms. The Company reserves the right to take any action against a User that we deem appropriate, including issuing a warning, refusing service, removing or refusing any Contribution, suspending or terminating Accounts, revoking your licence, and investigating and reporting, at any time in our sole discretion, including if in the Company’s opinion you have failed to comply with any provision of these Terms or for any illegal behaviour.

4. Content standards

These Content Standards apply to all material, including event briefs, wording, names, logos, artwork, reference images, photos and any other content which you upload, enter or otherwise contribute to our Services (“Contribution”). The Content Standards must be complied with in spirit as well as to the letter, and apply to each part of a Contribution as well as to its whole. We will determine, in our discretion, whether a Contribution breaches the Content Standards.

You retain all of your ownership rights in your Contributions. You grant us a worldwide, royalty-free, non-exclusive licence to use, process, store, reproduce, modify and display your Contributions, and to share them with the service providers that help us run the Services (including the providers of the artificial intelligence models we use), for the purpose of creating your designs and operating, maintaining and securing the Services.

By making a Contribution, you represent and warrant that (i) you own or have all rights, licences, consents and authorizations necessary to submit it and to grant the licence in these Terms, including from your client where you act for one; (ii) it does not infringe any intellectual property or other third-party right; and (iii) it complies with these Terms. We do not pre-screen Contributions, and you are solely responsible and legally liable, including to any third party, for your Contributions and their accuracy. We have the right to disclose your identity to any third party who claims that content you contributed violates their intellectual property rights, their right to privacy or publicity, or any other legal or moral right.

You are solely responsible for securing and backing up your Contributions.

A Contribution must comply with the applicable laws in Canada, the United Kingdom, the United States and any country from which it is made.

A Contribution must not:

  • be defamatory of any person;
  • be obscene, offensive, hateful or inflammatory;
  • promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
  • infringe any copyright, database right, trade mark or other right, including any other intellectual property or privacy right, of any other person;
  • be likely to deceive any person;
  • breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence;
  • promote any illegal activity;
  • be threatening, abusive or invade another’s privacy;
  • impersonate any person, or misrepresent your identity or affiliation with any person;
  • give the impression that it emanates from BoothLab or the Company, if this is not the case; or
  • advocate, promote or assist any unlawful or criminal act, such as copyright infringement or computer misuse.

We design original looks. When a brief names someone else’s brand, franchise, character or celebrity, the Services are intended to design in that spirit without reproducing their logos, characters or likenesses, and you must not use the Services to obtain designs that do.

If you make any testimonials available to the Company on or through the Website or by contacting us, you grant the Company a non-exclusive, transferable, sub-licensable, irrevocable, royalty-free, perpetual and worldwide licence to store, use, copy, reproduce, modify, adapt, edit, translate, publish, perform and display those testimonials without any payment or restriction.

5. AI-generated designs and what you download

The Services use generative artificial intelligence (“AI Services”). Your Contributions include the text, images and other content that you enter into the AI Services (“Input”) in order to receive designs and other results (“Output”) based on that Input.

Output may be (i) similar to or the same as the Output of our other users; or (ii) inaccurate, inappropriate or biased. You are responsible for reviewing Output, including all names, dates and wording, before you print it or use it at an event.

You are responsible for all decisions, actions or inactions arising from your use of the AI Services, including ensuring that they comply with applicable laws, rules and regulations, including any rules regarding “deepfake” content. Without limiting the foregoing, you shall not use the AI Services for: (i) prohibited practices under the European Union Artificial Intelligence Act (“EU AI Act”); (ii) any use that would result in the AI Services being declared a high-risk AI system or that otherwise qualifies as “high-risk” under the EU AI Act; or (iii) any use that is sensitive, critical, unsafe, high-risk or hazardous.

You may not (i) misrepresent the origin of any Output, including by claiming that it was created without artificial intelligence; (ii) remove any markings that are automatically applied to an Output to indicate that it was artificially generated; (iii) use the AI Services or any Output to develop, train, fine-tune, test or improve products, software or services that compete with the Services, including other artificial intelligence models; (iv) evade, disable, disrupt or interfere with any content filters or safety features of the AI Services; or (v) use the AI Services or Input in violation of these Terms. You will immediately stop using any Output that is subject to a claim that it violates third-party rights.

As between you and us, subject to the other provisions of these Terms and to the extent permitted by applicable law, you (i) retain your ownership rights in Input; and (ii) own any original elements of the Output that reflect your name, image or likeness, or are based on Inputs you already own.

Once an event pack has been paid for, we grant you a worldwide, non-exclusive, royalty-free licence to use the files delivered in that pack and the exports you make from it in the Studio (“Delivered Files”) for the event the pack was briefed for, including for a client’s event that you are paid to run, and including printing them, displaying them to guests and showing them in your own portfolio and marketing. You may not resell, sublicense or redistribute Delivered Files as templates, stock designs or design assets, whether on their own or as part of another product. Free and watermarked previews are provided for evaluation only.

6. Privacy and use of data

You agree that we may collect, use and disclose personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

To the extent applicable law requires a data processing agreement between you and us, contact us at hello@boothlab.ai and the parties will enter into one.

7. Termination

These Terms are effective until terminated by you or us. The Company may, at its sole discretion, terminate or suspend your licence and bar access to the Services immediately, without prior notice or liability, for any of the following:

  • a breach of these Terms, of applicable laws or regulations or of third-party rights, or any failure to pay applicable fees when due, including a reversed or disputed payment; or
  • if the Company believes in good faith that such action is reasonably necessary to protect the personal safety or property of the Company or third parties, or for fraud prevention, risk assessment or security purposes.

Upon termination, you will immediately cease accessing or using the Services, and any unused credits are forfeited.

8. No warranty

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SERVICES AND OUTPUT IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES AND THE OUTPUT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND WE HEREBY DISCLAIM ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS WITH RESPECT TO THE SERVICES AND OUTPUT, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. WE DO NOT WARRANT THAT THE SERVICES OR OUTPUT WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SERVICES OR OUTPUT WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY US SHALL CREATE A WARRANTY.

9. Limitation of liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL THE COMPANY OR ITS DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS OR AFFILIATES BE LIABLE FOR PERSONAL INJURY OR FOR ANY INCIDENTAL, SPECIAL, INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, SERVICE INTERRUPTION, PROPERTY DAMAGE, SYSTEM FAILURE OR OTHER INTANGIBLE LOSSES, OR FOR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES AND ANY CONTENT, INCLUDING THIRD-PARTY CONTENT, AVAILABLE ON OR THROUGH THE SERVICES, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, BREACH OF STATUTORY DUTY OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall our total liability to you for all damages (other than as may be required by applicable law) exceed the total sums paid by you in relation to the specific order that gave rise to the claim. The foregoing limitations will apply even if the above stated remedy fails of its essential purpose. You agree that you will not use the Services for any purposes prohibited by applicable laws, including those of Canada, the United Kingdom and the United States.

THE FOREGOING LIMITATIONS OF LIABILITY AND DAMAGES ARE FUNDAMENTAL AND FORM THE BASIS OF THE BARGAIN BETWEEN THE COMPANY AND YOU.

10. Indemnification

You agree to release, defend, indemnify and hold harmless the Company, its affiliates, licensees and licensors, and their respective employees, contractors, agents, officers, directors and suppliers, to the greatest extent allowed by law, from and against any and all claims, damages, obligations, losses, liabilities, judgments, awards, costs and expenses (including reasonable legal fees) resulting from or arising out of or in connection with:

  • improper use of and access to the Services by you or any person using your Account;
  • a breach of these Terms;
  • any claim or allegation that your use of the Services (including any Contribution) infringes the intellectual property or other rights of the Company or any third party; or
  • your breach of any laws, regulations or third-party rights.

11. Trademarks

All product, brand and company names, logos and trademarks displayed on the Website or used in connection with the Services, including BOOTHLAB and SNAPPIC, are the trademarks of the Company (or its suppliers, partner businesses or third-party licensors). Any use of the marks appearing on the Website or in connection with the Services without the express written consent of the Company or the owner of the mark is strictly prohibited.

12. Availability, errors and inaccuracies

THE COMPANY RESERVES THE RIGHT, AT ITS SOLE DISCRETION, TO WITHDRAW, SUSPEND, REMOVE OR AMEND THE SERVICES AND ANY SERVICE OR MATERIAL IT PROVIDES IN CONNECTION WITH THEM WITHOUT NOTICE. THE COMPANY WILL NOT BE LIABLE IF FOR ANY REASON ALL OR PART OF THE SERVICES ARE UNAVAILABLE AT ANY TIME OR FOR ANY PERIOD OF TIME. WE MAY ALSO IMPOSE LIMITS ON THE USE OF OR ACCESS TO OUR SERVICES, WITHOUT NOTICE OR LIABILITY.

We aim to deliver an event pack shortly after purchase, but generation can take longer or fail. Any delivery time we show is an estimate. If a piece of a paid pack cannot be made, we will finish it or put it right, and credits spent on work that fails are returned to your balance.

The Company is constantly updating its product and service offerings and may experience delays in updating information on the Website. THE INFORMATION FOUND THERE MAY CONTAIN ERRORS OR INACCURACIES AND MAY NOT BE COMPLETE OR CURRENT. SERVICES MAY BE MISPRICED, DESCRIBED INACCURATELY OR UNAVAILABLE, AND THE COMPANY CANNOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY INFORMATION.

Due to the nature of the Internet, the Company does not guarantee continuous and uninterrupted availability of the Services. The Company may restrict the availability of the Services if it deems it necessary, including for the security of its servers or to carry out maintenance, and may change, correct, improve or modify the Services and introduce new services at any time, without prior notice or liability.

We make no representations that our Website or Services are appropriate in locations outside of Canada, the United Kingdom or the United States. Users accessing them from other jurisdictions do so at their own risk and are responsible for compliance with their local laws.

We do not guarantee that our Website or Services will be secure or free from bugs or viruses. You are responsible for configuring your own technology to access them and should use your own virus protection software.

13. Fees and payments

Our order process is conducted by our online reseller Paddle.com Market Limited and its affiliates (“Paddle”). Paddle is the merchant of record for all our orders: when you buy an event pack or credits, you buy them from Paddle, which takes your payment, issues your receipt, and calculates and collects any sales tax, VAT or similar tax that applies. Your purchase is also subject to Paddle’s buyer terms. We do not receive or store your card details.

In consideration of access to the paid Services, you agree to pay the fees shown at checkout. Unless specified otherwise, prices on the Website are in US dollars and exclude applicable taxes, which are added at checkout based on your location.

Payment must be made in full at checkout before an order is accepted and processed. Paid Services are made available once Paddle confirms your payment.

Credits are a prepaid entitlement to use features of the Services. They have no cash value, are not transferable, cannot be exchanged for money and can be used only within the Account that holds them. We may change what credits can be spent on, and the prices of packs and credits, for future purchases.

Refunds are handled by Paddle and are governed by our Refund Policy, which forms part of these Terms. Purchases are refundable only as set out in that policy or as required by applicable law. Refunds that are approved are issued by Paddle to your original payment method. You acknowledge and agree that we are under no obligation to compensate you for any losses, damages or disappointment suffered through the use of the Services or as a result of your inability to use them.

Notwithstanding any other provision of these Terms, we reserve the right to cancel any transaction for any of the following reasons: (i) a failure by you to adhere to these Terms or any document incorporated in them by reference; (ii) incorrect pricing; or (iii) suspected fraud or a reversed or disputed payment.

14. Third-party content

The Services may contain links to, or permit the use of, third-party websites, services or content. The Company does not endorse and is not responsible or liable for their availability, accuracy, or related products or services. You are solely responsible for your use of them and for complying with any applicable third-party terms.

You may link to our Website, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in a way that suggests any form of association, approval or endorsement on our part where none exists. We reserve the right to withdraw linking permission without notice.

15. Changes to these Terms

The Company reserves the right, at its sole discretion, to modify or replace these Terms at any time, and to change any information, functionality, Services and other material displayed on, offered through or contained on the Website.

If a revision is material, as determined by the Company at its sole discretion, the Company will provide at least thirty (30) days’ notice on the Website before the new terms take effect. Your continued access to or use of the Services after a revision becomes effective means that you accept and agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Website and Services.

16. Entire agreement and survival

These Terms and the documents incorporated by reference constitute the entire agreement between you and the Company relating to access to and use of the Services, and supersede all prior or contemporaneous agreements, negotiations, representations and proposals, written or oral, between the Company and you. Provisions that by their nature should survive termination, including sections 1, 4, 5 and 8 to 11, will survive.

17. Jurisdiction

The laws of the Province of Ontario, Canada and the federal laws of Canada applicable therein, excluding conflict of law rules, govern these Terms and your use of the Services. You expressly agree that the courts in the Province of Ontario have exclusive jurisdiction over any claim or dispute with the Company or relating in any way to your use of the Services. You expressly agree that any dispute under these Terms that is resolved in a court of law shall not be resolved by jury trial, and you waive any right to trial by jury.

18. Waiver and severability

No delay or omission by the Company in exercising or enforcing any right or provision of these Terms constitutes a waiver of that right or provision. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect. All waivers must be in writing and signed by the party waiving its rights.

19. Language

You and the Company agree that these Terms, and all documents related to them, including notices, schedules and authorizations, have been and shall be drawn up in the English language only. Les parties aux présentes confirment leur volonté expresse que cette convention, de même que tous les documents s’y rattachant, y compris tous avis, annexes et autorisations s’y rattachant, soient rédigés en langue anglaise seulement.

20. Electronic documents

This electronic document, and all other electronic documents referred to or incorporated in it, will be: (a) deemed for all purposes to be a “writing” or “in writing”, and to comply with all statutory, contractual and other legal requirements for a writing; and (b) legally enforceable as a signed agreement.

21. Assignment

You may not assign, transfer or delegate these Terms or your rights and obligations under them without the Company’s written consent. The Company may assign, transfer or delegate these Terms and any rights and obligations under them without restriction.

22. Force majeure

Neither party shall be liable for delays in or failures to perform under these Terms (other than a payment obligation) due to causes beyond its reasonable control, including acts of God, acts or omissions of the other party or a third party, third-party product or service failures, labour disputes, Internet or telecommunications outages, acts of civil or military authorities, fire, strikes, power surges or outages, pandemics or epidemics, flood, earthquakes, riot or war. Each party shall use commercially reasonable efforts to notify the other of any such event and to resume performance as soon as practicable.

23. Notices

Unless specified otherwise, any notices or communications required under these Terms will be in writing and sent by email or via the Website.

24. Contact us
